SKIPPER NDT Companion Application

1. INTRODUCTION
These Terms and Conditions (hereinafter referred to as the “Terms”) govern the use of the SKIPPER NDT mobile and/or desktop application (hereinafter referred to as the “Application”), published by SKIPPER NDT, a simplified joint-stock company (Société par actions simplifiée) with a capital of 125,263.16 euros, registered with the Trade and Companies Register of Pau under number B 822 080 206, with its registered office at 2 avenue du Président Pierre Angot, 64000 PAU, France (hereinafter referred to as “SKIPPER NDT” or “we”).

The Application is a companion tool designed exclusively for use with hardware equipment sold by SKIPPER NDT to its professional clients.
2. ACCEPTANCE OF TERMS
Access to and use of the Application are subject to the acceptance of and compliance with these Terms. By installing, downloading, or using the Application in any way, you acknowledge that you have read these Terms and agree to be bound by them without reservation.
If you do not accept these Terms, you must not use the Application.
SKIPPER NDT reserves the right to modify these Terms at any time. The modifications will take effect upon their publication in the Application or their notification to the user. Continued use of the Application after any modification constitutes acceptance of these modifications.
3. ACCESS TO THE APPLICATION
3.1 Authorized Users
The Application is exclusively reserved for users with a valid license key provided following the purchase of SKIPPER NDT hardware equipment. Users are generally employees of SKIPPER NDT’s client companies, their partners, or expressly authorized subcontractors.
3.2 License Duration
The license to use the Application is granted for a period of one year from the purchase of the hardware equipment. Beyond this period, an annual subscription renewal is necessary to continue using the Application.
3.3 License Key
Access to the Application is conditional upon the use of a valid license key. This license key can be used on multiple devices simultaneously, in accordance with the specific conditions defined at the time of purchase.
3.4 User Account
The user is responsible for the confidentiality of their license key and for all actions performed through their account. The user agrees to immediately inform SKIPPER NDT of any unauthorized use of their license key or any other security breach.
4. USE OF THE APPLICATION
4.1 License to Use
SKIPPER NDT grants the user a non-exclusive, non-transferable, and revocable license to use the Application, strictly for the purpose of using SKIPPER NDT hardware equipment, in accordance with these Terms and for the duration of the license validity.
4.2 Restrictions on Use
The user is strictly prohibited from:
- Copying, modifying, adapting, translating, creating derivative works, decompiling, disassembling, or attempting in any other way to extract the source code of the Application;
- Circumventing the technical limitations of the Application or disabling security-related functionalities;
- Removing copyright notices or other proprietary rights appearing in the Application;
- Using the Application in a way that could damage, disable, overload, or impair the Application;
- Using robots, spiders, site search/retrieval applications, or other automated devices to access the Application;
- Collecting information about other users without their consent;
- Reselling, renting, lending, or marketing access to the Application in any way.
4.3 Updates
SKIPPER NDT may, from time to time, deploy or provide updates to the Application, which may include upgrades, feature modifications, or bug fixes. The user agrees to receive and install these updates as a condition of continued use of the Application.
5. SUBSCRIPTION AND PAYMENT
5.1 First Year of Use
The first year of use of the Application is included in the purchase of SKIPPER NDT hardware equipment.
5.2 Subscription Renewal
After the first year, continued use of the Application requires the renewal of an annual subscription.
At the time of purchasing the SKIPPER NDT hardware equipment, the subscription is billed on a pro rata basis for the remaining portion of the current calendar year. Thereafter, subscriptions are renewed and billed on a calendar year basis, from January 1st to December 31st of each year.
Billing arrangements are established directly between SKIPPER NDT and its professional clients.
5.3 Price and Modification
Subscription prices are those in effect at the time of billing. SKIPPER NDT reserves the right to modify its rates at any time, with notice to the concerned clients.
5.4 Payment Method
Payment for subscription renewals is made by direct billing between SKIPPER NDT and the professional client. No payment is made through the Application.
6. INTELLECTUAL PROPERTY
6.1 SKIPPER NDT Rights
The Application, including without limitation all text, graphics, logos, icons, images, audio clips, downloads, interfaces, code, software, and the selection and arrangement of these elements, is the exclusive property of SKIPPER NDT or its suppliers and is protected by French and international intellectual property laws.
6.2 Limited License
Subject to compliance with these Terms, SKIPPER NDT grants you a limited, non-exclusive, non-transferable, and revocable license to use the Application solely in connection with the use of SKIPPER NDT hardware equipment.
6.3 No Assignment
Nothing in these Terms shall be construed as transferring any intellectual property rights from SKIPPER NDT to the user.
7. PERSONAL DATA
The processing of users’ personal data is subject to SKIPPER NDT’s Privacy Policy, available within the Application and/or upon request.
8. WARRANTIES AND LIABILITY
8.1 Limited Warranty
The Application is provided “as is” and “as available” without warranty of any kind, express or implied. SKIPPER NDT does not warrant that the Application will operate without interruption or error, or that defects will be corrected.
8.2 Limitation of Liability
To the fullest extent permitted by applicable law, SKIPPER NDT shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses resulting from the use of or inability to use the Application.
8.3 Force Majeure
SKIPPER NDT shall not be liable for any delay or failure to perform its obligations resulting from circumstances beyond its reasonable control, including but not limited to natural disasters, power outages, telecommunications failures, governmental actions, riots, strikes, or other labor disputes.
9. TERMINATION
9.1 Termination by the User
The user may cease using the Application at any time.
9.2 Termination by SKIPPER NDT
SKIPPER NDT reserves the right to suspend or terminate any user’s access to the Application, at any time and for any reason, including in case of violation of these Terms, without notice or liability.
9.3 Effects of Termination
Upon termination, the license granted to the user ends, and the user must cease all use of the Application.
10. MISCELLANEOUS
10.1 Applicable Law
These Terms are governed by French law.
10.2 Jurisdiction
Any dispute relating to the interpretation or execution of these Terms shall be subject to the exclusive jurisdiction of the courts of Pau, France, unless otherwise provided by law.
10.3 Severability
If one or more provisions of these Terms are declared null or unenforceable under any applicable law or regulation, these provisions shall be deemed unwritten, without affecting the validity of the other provisions.
10.4 Entire Agreement
These Terms constitute the entire agreement between the user and SKIPPER NDT regarding the use of the Application and supersede all prior or contemporaneous agreements, written or oral, relating to the subject matter hereof.
10.5 No Waiver
The failure of SKIPPER NDT to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
